Edrington Americas’ Legal Team serves as the company’s in-house legal counsel on all areas of the business, including regularly advising the management, sales, and marketing teams on areas of corporate, regulatory, employment, and intellectual property law.  The Edrington Americas Legal Team works in conjunction with the Global Legal Team to ensure compliance of global business strategies with respect to the importation and distribution of the portfolio of distilled spirits throughout North and South America.

Job Responsibilities

The Assistant Legal Counsel will report directly to the VP Legal & Corporate Affairs and work alongside the Legal Compliance Manager.  The Assistant Legal Counsel is responsible for providing a range of legal support and administration with respect to corporate law and governance, third party contracts, business licensing, and alcohol beverage regulation and trade practice activity.  Responsibilities include, but are not limited to:

  • Perform quality review and drafting of third party business and distribution contracts in coordination with VP Legal and commercial and marketing teams
  • Prepare and review legal documents including company letters, employee contracts, confidentiality agreements, corporate governance documentation, and lease agreements
  • Coordinate and oversee legal approvals of new vendor set-up process
  • Prepare and file corporate documentation including federal/state license renewals
  • Research and prepare documentation for the maintenance of corporate and LLC entities
  • Maintain and organize corporate books and records
  • Build, maintain, and manage databases and files, including with respect to all third party contracts
  • Arrange and record corporate meetings, minutes, and records
  • Identify proper corporate procedures and draft corporate resolutions authorizing and approving applicable activities/functions
  • Develop and organize files and database of corporate organizational and authorizing documentation
  • Develop knowledge/understanding of authorized signatories/representatives and actions taken on behalf of the company
  • Advise with respect to general corporate practices and protocols
  • Review and approve all product sample requests from commercial and brand teams
  • Assist in providing quality legal support for creative, sales, marketing and distribution programs, as well as regulatory review of events, point-of-sale, coupons, sweepstakes/contests, social media, and advertisements, including state-by-state compliance
  • Assist in the development and presentation of training for commercial and marketing teams, including with respect to compliance, social media, and employee handbook and policies
  • Review, monitor, and advise of new and updated laws and regulations affecting the business
  • Monitor and ensure compliance with state, local, and federal regulations
  • Research trade practice issues, often involving calls to federal and state government agencies
  • Assist in the review, analysis, and corporate completion of business opportunities such as brand acquisitions
  • Attend legal and industry conferences as Edrington representative
  • Manage and oversee seasonal legal department interns, as applicable

Education and Experience

  • Juris Doctorate from ABA accredited law school within the United States
  • Licensed by New York State Bar Association and admitted to practice law within the State of New York
  • At least 2 years’ experience working in a law firm or in-house company legal department
  • Thorough knowledge of legal principles and practices, legal research techniques, legal terminology, legal communication principles and practices
  • Thorough knowledge state and federal corporate law with respect to governance, entity formation and maintenance, and contract administration
  • Relevant computer knowledge and experience, including with respect to Microsoft Office
